You represent and warrant that you are at least 18 years of age and that you possess the legal right and ability to enter into this Agreement and to use True Vine Solutions Sites in accordance with this Agreement. You agree to be financially responsible for your use of True Vine Solutions Sites (as well as for use of your account by others, including minors living with you) and to comply with your responsibilities and obligations as stated in this Agreement.

13. CONTENT
Statements made in the Site, discussion boards, e-mail, live events and chats reflect only the views of their authors. Community managers, live event moderators or consultants and agents appearing on True Vine Solutions Sites are not authorized True Vine Solutions spokespersons, and their views do not necessarily reflect those of True Vine Solutions.

16. INDEMNIFICATION
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS TRUE VINE SOLUTIONS, THE TRUE VINE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS AND SUPPLIERS FROM AND AGAINST ALL LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE ATTORNEY'S FEES, RESULTING FROM ANY VIOLATION OF THIS AGREEMENT OR ANY ACTIVITY RELATED TO YOUR ACCOUNT (INCLUDING INFRINGEMENT OF ANY THIRD PARTY'S U.S. AND/OR WORLDWIDE INTELLECTUAL PROPERTY RIGHTS OR NEGLIGENT OR WRONGFUL CONDUCT) BY YOU OR ANY OTHER PERSON ACCESSING THE SITE USING YOUR SERVICE ACCOUNT.

17. WAIVER, RELEASE AND LIMITATION OF LIABILITY
YOU AGREE THAT NEITHER TRUE VINE SOLUTIONS, THE TRUE VINE LIMITED, NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS OR SUPPLIERS SHALL HAVE ANY LIABILITY TO YOU UNDER ANY THEORY OF LIABILITY OR INDEMNITY IN CONNECTION WITH YOUR USE OF TRUE VINE SOLUTIONS SITES. NOTWITHSTANDING THE FOREGOING PARAGRAPH, THE TOTAL COLLECTIVE LIABILITY OF TRUE VINE SOLUTIONS, THE TRUE VINE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS AND SUPPLIERS, IF ANY, FOR LOSSES OR DAMAGES SHALL NOT EXCEED THE FEES PAID DURING ONE (1) CALENDAR YEAR BY THE USER FOR THE PARTICULAR INFORMATION OR SERVICE PROVIDED. ALL OTHER DAMAGES, DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE, INCLUDING BUT NOT LIMITED TO, LOST PROFITS OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION ARISING FROM ANY USE OF OR INABILITY TO USE ANY CONTENT OR OTHER PARTS OF TRUE VINE SOLUTIONS, THE TRUE VINE LIMITED SITES, ARE HEREBY EXCLUDED EVEN IF TRUE VINE SOLUTIONS, THE TRUE VINE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS OR SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18. THIRD PARTY RIGHTS
The provisions of paragraphs 18 (Indemnification) and 19 (Waiver, Release and Limitation of Liability) are for the benefit True Vine Solutions and its officers, directors, employees, agents, licensors, suppliers and Information Providers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
 
19. TERM; TERMINATION
Either you or True Vine Solutions may terminate your right to use True Vine Solutions Sites at any time, with or without cause, upon notice. True Vine Solutions also reserves the right to terminate or suspend your True Vine Solutions membership without prior notice, but True Vine Solutions will confirm such termination or suspension by subsequent notice. The provisions of paragraphs 14 (Copyright), 15 (Licenses and Idea Submissions), 16 (Indemnification), 17 (Waiver, Release and Limitation of Liability), 17 (Third Party Rights), and 20 (Miscellaneous) shall survive any termination of this Agreement.

20. MISCELLANEOUS
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. You agree that any legal action or proceeding between you and True Vine Solutions for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Texas. Any cause of action or claim you may have with respect to True Vine Solutions must be commenced within one (1) year after the claim or cause of action arises. True Vine Solutions' failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement.

True Vine Solutions may assign its rights and obligations under this Agreement to any party at any time without notice to you and upon such assignment True Vine Solutions shall be relieved of any further obligation hereunder.

True Vine Solutions reserves the right to charge or change fees, surcharges and/or membership fees at any time upon thirty (30) days prior written notice to you.

21. NOTICE
True Vine Solutions may deliver notice to you under this Agreement by means of electronic mail (to the most recent e-mail address provided by you at the time of registration or modification of your profile), a general notice on True Vine Solutions, or by written communication delivered by first class U.S. mail to your address on record in True Vine Solutions' account information. You may give notice to True Vine Solutions at any time via electronic mail to True Vine Solutions or by letter delivered by first class postage prepaid U.S. mail or overnight courier to the following address:

22. SEVERABILITY
The provisions of this Agreement are severable, and in the event any provision hereof is determined to be invalid or unenforceable, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions hereof.
